This Company is formed for the purpose of taking over and carrying on the well-known business of the London Stereoscopic and Photographic Company, which was founded by the late Lord Mayor (Mr. Alder­ man Nottcge), and since carried on for upwards of twenty-three years with great success at 54, Cheapside, and 108 and 110, Regent Street, in co-partnership with Mr. Howard John Kennard.and latterly with Mr. C. G. Nottage also. The death of the Lord Mayor renders it desirable to provide for the continued conduct of the business under the facilities provided by the Joint 8 tock Companies Acts, but Mr. Nottage will continue to direct the management of the Company as managing director, while Mr. Kennard will act as chairman. The Company will acquire the firm’s freehold manu­ factory and works at Southgate (erected in 1881), as -m ell as tbe leasehold premises of the lirm at 54, Cheap* fide. E.C., and Rtgent Street, W.. together with the machinery, plant,and stock-in-trade. The vendors agree to accept for the work*, leases, plant, stock-in-trade, and goodwill the sum of £90,000, one-third «»f which they will take in 6,000 fully paid-up shares of £5 eacb. The business will be taken over by the Company as from the 31»t December, 1881, the profits for the pre­ sent year, when ascertained, being divided between the firm and the Company in equal shares. The ven­ dors, however, agree that the expenses connected with the recent Amateur Photographic Exhibition thall be borne by them exclusively. The profits of the business for the last twenty-three years (as certified by Meesrs. B. Mackay and Co.) have averaged £6,280 per annum, and for the year 1884 they exceeded £6,700. The existing net income of the Company is, there­ fore. srfflcient to pay 7 per eent. on the capita 1 (or £6,800), leaving a surplus for the expenses of the board. Tbe din ctors will not receive any remunera­ tion until 7 per cent, has been paid on the ordinary shares, but they will then be entitled to £700 per annum. Duiing the present year the sale* have largely increased, espetially in connection with the amateur photcgraphic business, and from an examina­ tion of the accounts there is every reason to anticipate that the profits for the present year will exceed those of last year. All expenses of and incidental to the formation of the Company are borne by the vendors, so that the Company will commence businet-B without any outlay for preliminary expenses. A contract has been entered into, dated 1st July, 1885, and made between Charles George Nottage and Howard John Kennard of the one part, and Samuel Mark Clark as trustee on beha f of the Company of the other part. There are, in addition, other contracts that have been entered into in the ordina y coarse of the business of the old partnership which it is impos­ sible to specify in this prospectus, and reference to wh!ch must becon-id»red as waived.
